Terms of Service

These terms ("Terms") govern your use of PlateMargin (the "Service"), operated by SteadyDeveloper LLC ("we", "our"). By creating an account or using the Service, you agree to these Terms.

1. The Service

PlateMargin is a recipe-costing and inventory tool for restaurants and food businesses. We provide the software; you provide the data (recipes, inventory counts, POS connections) and operate your business with it. The Service is delivered as-is, with the warranties described below and no others.

2. Account responsibility

You're responsible for:

• The accuracy of the data you enter and import.
• Keeping your sign-in credentials confidential.
• The actions of users you grant access to your organization.
• Compliance with the Square and Stripe terms of service when you connect those accounts.

3. Acceptable use

You agree not to:

• Reverse engineer, decompile, or attempt to extract source code from the Service.
• Use the Service to send spam, phish, or transmit malware.
• Probe, scan, or test the vulnerability of the Service without prior written authorization.
• Use the Service to violate any applicable law.
• Attempt to access another organization's data.

4. Subscriptions and billing

• Plans are billed monthly or annually via Stripe in advance. Pricing is shown at platemargin.com/#pricing.
• You can cancel any time from inside the app. Cancellation takes effect at the end of your current billing period; no prorated refunds.
• If a payment fails, your account is marked "Past Due" and we may suspend access after a grace period until payment is restored.
• We may change pricing for future billing periods with 30 days' notice via email.
• Free trials are limited to one per organization. We reserve the right to refuse trials that appear to be duplicates of cancelled accounts.

5. Your data

You own your data. We process it on your behalf only to provide and improve the Service. Our handling of your data is governed by the Privacy Policy.

You can export your data on request (see Privacy Policy). On account deletion, your data is removed from active systems immediately and purged from backups as the retention window ages out.

6. Suspension and termination

We may suspend or terminate accounts that:

• Are more than 30 days past due on payment.
• Violate these Terms.
• Pose a security or abuse risk to the Service or other customers.

You can terminate your subscription at any time. We'll notify you of suspensions or terminations via the email on your account, and you'll have at least 14 days to export your data.

7. Service level

We aim for high availability but do not provide a formal SLA at this tier. The Service depends on third-party APIs (Square, Stripe, Mailgun, Anthropic, Microsoft Azure) and may experience outages outside our control.

8. Warranties and liability

THE SERVICE IS PROVIDED "AS IS". WE DISCLAIM ALL IMPLIED WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA.

9. Indemnity

You agree to indemnify and hold us harmless from claims arising out of your use of the Service, your data, or your violation of these Terms.

10. Changes to these Terms

We may revise these Terms with 30 days' notice via email. Continued use of the Service after the effective date means you accept the new Terms.

11. Governing law

These Terms are governed by the laws of the State of Maryland, United States, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in Maryland.
